RG Global Completes Acquisition Of Pro Water, Deep Injection Well

Upland, CA /PRNewswire/ - RG Global (OTC Bulletin Board: RGBL) has completed its acquisition of Pro Water, LLC and its Blue Bench Deep Injection Well (DIW) located near Duchesne, Utah. Pro Water became a wholly owned subsidiary of RG Global in exchange for a payment of RG Global's restricted common stock, a secured convertible promissory note payable over one year with an interest rate of 5% and a conversion feature at the option of the holder into shares of RG Global's common stock, and the assumption of Pro Water debts.
Positive Cash Flow
Pro Water, LLC, through its Blue Bench Deep Injection Well (DIW), has an established customer base which generates positive monthly cash flow and will allow RG Global to fund further technology acquisitions. Blue Bench sits on 10 acres and has a daily injection capacity of 7,500 barrels per day.
Increased Revenue
Currently the oil and gas production industry utilizes both injection wells and evaporation ponds for wastewater disposal. Pro Water has based its model on strategic utilization, whereby it converts production well water into multiple revenue streams. To accomplish this, Pro Water has begun construction of an extensive upgrade to the Blue Bench DIW. With construction scheduled to be completed by August 2010, in addition to revenue from water disposal, Pro Water will begin generating revenue through the separation of oil and eventually the recycling of water for fracking.
Through the maximization of available revenue streams, Pro Water is able to increase the daily capacity of the Blue Bench DIW, while minimizing the actual amount of water going down hole. Since January of 2010, business at the Blue Bench Injection Well has steadily increased as local governments increase regulations and restrictions for disposing produced water. Deep injection wells are one of the few available methods for disposing produced water in the near future. Through sales from increased processing and refinement, the Blue Bench DIW is projected to have gross sales of over $6 million within the first three years.
Key Advantages
The Blue Bench DIW is in a prime location near oil and gas production sites and along a major highway that is traveled extensively by oil and natural gas producers. The steady stream of produced water from various customers allows the development and testing of technologies without the disadvantages of relying on single third party producers; which negatively affected the operations of RG Global's Wyoming water treatment plant.
Multi-Acre Expansion
In addition to the current upgrades, Pro Water is scheduled to begin construction of a full research and development laboratory. This laboratory is part of a key plan to efficiently test, develop and implement current and newly acquired "Best in Class" technologies. Upon completion, this multi-acre facility will serve as a showplace for potential customers and a technology incubator that nurtures new and upcoming ventures that can be proven and then brought into the RG Global Corporation.
Background on Injection Well use:
When oil and gas are extracted, large amounts of brine/wastewater are typically brought to the surface. Often saltier than seawater, this brine can also contain toxic metals and that can be very damaging to the environment and public health if discharged to surface water or the land surface. By injecting the brine deep underground, Class II wells prevent surface contamination of soil and water.
As state governments begin to pass and implement rules preventing the disposal of brine to surface water bodies and soils, injection is becoming the preferred way to dispose of this waste fluid. All oil and gas producing states in the US require the injection of brine into the originating formation or into formations that are similar to those from which it was extracted.
